Article 1 — Purpose and scope

These terms of sale (the "Terms") govern:

These products and services are offered under the ProfitBox brand by NVH GROUP (the "Seller") to any person making a purchase or signing up (the "Buyer"). Any order implies unreserved acceptance of these Terms.

The Sheets are reserved for professional buyers — legal entities or individuals acting within their commercial activity, in particular businesses reselling on marketplaces such as Amazon FBA; by ordering Sheets, the Buyer declares that they act as a professional. The Training, however, is available to professionals and consumers alike; where it is purchased by a consumer, the applicable consumer-protection provisions (right of withdrawal, consumer mediation) apply as set out in articles 8, 14 and 16.

Article 2 — Seller identity

NVH GROUP, a single-shareholder simplified joint-stock company (SASU, French law) with share capital of €1,000, whose registered office is at 6 rue d'Armaillé, 75017 Paris, France, registered with the Paris trade register (RCS) under number 978 370 310, intra-EU VAT FR 67 978 370 310. Article 3 — Nature of the Sheets

Each Sheet is digital content for decision support, including in particular a product reference, a retailer link, observed prices and quantified estimates (ROI, sales, fees). The Sheets are a decision-support aid and not investment advice. The Seller does not sell the referenced products, holds no stock and does not take part in the transactions concluded between the Buyer, the source retailers and the marketplaces.

Article 4 — Prices

The Sheets are sold as packs, at the prices displayed on the site at the time of the order (for reference: €19 for 1 Sheet, €49 for 3 Sheets, €129 for 10 Sheets). Prices are stated in euros. The applicable VAT is the one in force; it is calculated, collected and remitted by the payment provider acting as reseller (see Article 6). The Seller reserves the right to change its prices at any time, the Sheets being invoiced at the price in force at the time of the order.

Article 5 — Order

The order is placed online via the sales page. It is deemed firm and final after payment validation. A confirmation e-mail is sent to the Buyer at the address provided when ordering. It is the Buyer's responsibility to provide a valid e-mail address and to check it (including their spam folder).

Article 6 — Payment

Payments are processed by our provider Lemon Squeezy (Lemon Squeezy, LLC), acting as reseller and party liable for VAT (Merchant of Record). As such, Lemon Squeezy may appear as the seller on the Buyer's bank statement and issues the invoice. Payment data is collected and processed directly by this provider and never passes through the Seller's servers. Payment is due immediately upon ordering.

Article 7 — Delivery

The Sheets are delivered electronically, to the e-mail address given when ordering, as a digital document (PDF), within a maximum of 24 hours after payment validation (in practice, within a few minutes). If not received, the Buyer is invited to check their spam folder and then contact contact@profitbox.shop.

Article 8 — Right of withdrawal

Professional buyers: in accordance with the applicable rules, the right of withdrawal does not apply to contracts concluded between professionals within their activity.

Consumer buyers: the Sheets are digital content supplied on an intangible medium whose performance begins immediately after the order. By confirming their order, the consumer Buyer expressly requests immediate performance of the supply and acknowledges waiving their right of withdrawal as soon as the download / sending of the Sheets begins, in accordance with Article L.221-28 13° of the French Consumer Code. No refund can therefore be claimed on this basis once the Sheets have been delivered.

Article 9 — Warranty and no guarantee of results

The Seller warrants the accuracy of each Sheet's data at its delivery date and a calculated net ROI greater than or equal to 30% (all standard Amazon fees deducted). Each Sheet is re-checked before delivery; if the purchase price has changed and the calculated net ROI drops below 30%, the Sheet is replaced with an equivalent opportunity, with no action required from the Buyer.

However, the Seller does not guarantee any commercial result. Market data (price, stock, availability, ranking, sales volume) is liable to change after delivery. Final performance depends solely on the Buyer's execution: buying speed, resale price applied, account eligibility in the category, and compliance with retailer and marketplace rules. The Buyer remains solely responsible for their purchase and resale decisions.

Article 10 — Intellectual property and use of the Sheets

The Sheets and all site content are protected by intellectual property law and remain the exclusive property of the Seller. The Sheets are provided for the Buyer's personal and professional use. Any reproduction, sharing, resale or redistribution of the Sheets to third parties, free of charge or for a fee, is strictly prohibited and may give rise to legal proceedings.

Article 11 — Liability

The Seller cannot be held liable for the consequences of using the Sheets, nor for operating losses, loss of revenue or indirect damages. In any event, the Seller's liability is limited to the amount of the order concerned.

Article 12 — Personal data

The Buyer's personal data is processed in accordance with our Privacy policy.

Article 13 — Customer service and complaints

For any question or complaint, the Buyer may contact customer service at contact@profitbox.shop. The Seller endeavours to respond as quickly as possible.

Article 14 — Provisions specific to the Training

Nature. The Training "From zero to Amazon FBA seller" is digital educational content (a PDF guide, in French or English) presenting, for information purposes, the steps to create and run an Amazon selling activity. It does not constitute personalised legal, accounting, tax or investment advice and guarantees no outcome; applicable rules vary by country and by individual situation.

Price and payment. The Training is sold at the price displayed on the site at the time of the order (for reference: €79), as a one-off payment, under the conditions of articles 4 and 6.

Delivery. The Training is delivered by e-mail as a PDF document protected by a personal password and watermarked with the Buyer's name, under the conditions of article 7. It is provided for the Buyer's personal use; sharing, reproduction or resale are prohibited (article 10).

Free Sheet. Purchasing the Training entitles the Buyer to one (1) free Sheet (indicative value €19), to be unlocked using a personal single-use code, valid for six (6) months from purchase and usable solely on the "1 Sheet" pack. The free Sheet benefits from the guarantees of article 9. After this period, the offer expires with no compensation or refund.

Right of withdrawal. As the Training is digital content with immediate performance, the provisions of article 8 apply: a consumer Buyer who requests immediate access waives their right of withdrawal once the document is made available.

Article 15 — Affiliate programme

The Seller offers an affiliate programme allowing an affiliate to earn a 20% commission on the pre-tax amount of eligible sales made through their referral link. Tracking and payment of commissions are handled by the provider Lemon Squeezy; the attribution window (cookie) is 365 days, on a first-referrer basis. €0 orders (including the free Sheet) and refunded sales give rise to no commission.

The affiliate undertakes to promote ProfitBox fairly and not to use prohibited practices, including: unsolicited messages (spam), self-referral, misleading claims or promises of earnings, harm to the Seller's image or unauthorised use of its trademarks. The affiliate is solely responsible for declaring and paying any taxes and contributions due on the commissions they receive.

The Seller may refuse a registration, withhold or cancel a commission in the event of fraud or breach, and amend or close the programme at any time, without affecting commissions already duly earned.

Article 16 — Mediation

For the Sheets, reserved for professional buyers, the consumer-mediation scheme does not apply. For the Training purchased by a consumer, the latter may use, free of charge, the consumer mediator appointed by the Seller: mediator to be appointed — name, postal address and website to be completed. Consumers residing in the European Union also have access to the European online dispute resolution platform: ec.europa.eu/consumers/odr.

Article 17 — Governing law and disputes

These Terms are governed by French law. Failing an amicable resolution, any dispute shall fall within the jurisdiction of the competent courts under ordinary law.
